Terms of Use

In these Terms, the following terms mean:

• "Platform": the online service Shopsdz, accessible via the website, allowing the creation and management of online shops.
• "User": any individual or legal entity accessing the Platform, whether registered or not.
• "Seller": a User holding an account, creating and operating one or more shops on the Platform.
• "End Customer": a buyer placing an order on a Seller's shop.
• "Shop": the online storefront created by a Seller on the Platform, accessible via a subdomain or a custom domain name.
• "Subscription": the paid plan subscribed to by the Seller to access the Platform's features.

Access to the Platform is free for any User with an internet connection and a compatible browser. Creating a Seller account is free and requires providing accurate and complete information (identity, e-mail, shop name, country).

The Seller undertakes to:

• Provide accurate information and keep it up to date.
• Keep their password confidential and not share it.
• Be responsible for any activity carried out from their account.
• Have the legal capacity to enter into a contract (be of age or hold a legal authorization).

Shopsdz reserves the right to refuse, suspend or delete an account in the event of non-compliance with these Terms or fraudulent behavior.

The Seller is solely responsible for the content of their Shop, the products they offer for sale, and the relationships with their End Customers. They undertake to:

• Comply with all applicable laws and regulations (consumer law, taxation, intellectual property, etc.).
• Only offer for sale products they hold the rights to and that are legally marketable.
• Provide accurate, honest and complete descriptions of their products (photos, prices, characteristics, availability).
• Honor their orders and provide professional customer service to their End Customers.
• Respect the intellectual property rights of third parties (no counterfeiting, no non-royalty-free images).
• Not use the Platform for illegal, fraudulent, abusive purposes or in a way that infringes on third-party rights.
• Not attempt to access data that does not belong to them (another shop, another account).

Access to the Platform's advanced features requires subscribing to a paid Subscription. The characteristics and prices of Subscriptions are published on the Pricing page and may be changed at any time, subject to reasonable notice.

• Billing: Subscriptions are billed monthly or annually, depending on the plan chosen, via our payment provider Paddle.com, which acts as the official reseller (Merchant of Record) and notably handles applicable VAT.
• Trial period: where applicable, the trial period is free and without commitment. At its end, the Subscription is activated automatically unless canceled beforehand.
• Renewal: Subscriptions renew automatically at each due date, unless canceled from the admin interface or via our support.
• Refund: no amount paid may be refunded in the event of early termination, except where required by mandatory legal provisions or a commercial agreement on our part.
• Unpaid amounts: in the event of non-payment, Shopsdz reserves the right to suspend access to paid features until the situation is regularized.

The Platform (structure, code, design, texts, logos, trademarks) is protected by intellectual property law and remains the exclusive property of Shopsdz. No element may be reproduced, copied or exploited without prior written authorization.

The Seller retains full rights over the content of their Shop (products, descriptions, photos, visual identity). By publishing this content on the Platform, they grant Shopsdz a non-exclusive, free, worldwide license, for the duration of use, for the sole purpose of hosting, displaying and technically operating this content.

Shopsdz provides the Platform "as is" and cannot be held liable for:

• The actions of Sellers or End Customers, in particular in the event of a commercial dispute, non-delivery, non-conforming product or fraud.
• Interruptions, bugs or slowdowns related to maintenance, network failures or force majeure events.
• Indirect damages (loss of revenue, loss of data, loss of opportunity) resulting from the use of the Platform.
• The content of third-party sites that may be linked from the Platform.

Shopsdz implements reasonable technical measures to ensure the availability and security of the Platform, without being able to guarantee absolute availability (99.9% targeted).

The sales contract is concluded directly between the Seller and their End Customer. Shopsdz acts solely as a technical service provider and is never a party to the sales contract. The Seller is solely responsible for:

• Order fulfillment and delivery.
• After-sales service, returns and complaints.
• Compliance with legal obligations (right of withdrawal, legal warranties, taxation).
• The collection and processing of their customers' data.

In the event of a dispute between a Seller and an End Customer, Shopsdz cannot be held liable and will invite the parties to resolve it directly between themselves.

The Seller may terminate their Subscription at any time from their admin interface or by contacting our support. Termination takes effect at the end of the paid period.

Shopsdz reserves the right to suspend or terminate an account in the event of:

• Non-compliance with these Terms.
• Fraudulent or illegal activity.
• Non-payment of a Subscription.
• Prolonged inactivity of the account.

In the event of termination, the Seller's data is retained for 90 days to allow for possible reactivation, then permanently deleted (subject to legal retention obligations).
